S-Corp Tax Election

Earning over ~$50K in LLC profit? Electing S-Corp tax treatment could save you $3,000–$10,000+ per year in self-employment taxes. The IRS has a strict deadline — miss it and you wait a full tax year.
How the tax savings work ▾
By default, a single-member LLC is a “disregarded entity” and a multi-member LLC is a partnership — either way,
100% of your net profit flows through to your personal tax return and gets hit with 15.3% self-employment tax on every dollar.
With an S-Corp election, your LLC is still a pass-through entity (profits still flow to your personal return), but you pay yourself a
reasonable W-2 salary first. Only that salary is subject to self-employment/payroll taxes. Everything above the salary is distributed to you as profit distributions —
NOT subject to the 15.3% SE tax. That’s where the savings come from.
The catch: The IRS requires Form 2553 to be filed within
75 days of your LLC’s formation (or by March 15 for existing LLCs). Miss it — you wait until next tax year. We prepare and file Form 2553 on your behalf, correctly and on time.

Certificate of Good Standing

Official proof from the Wyoming Secretary of State that your LLC is active, current on its annual report, and in good legal standing. Required by banks, lenders, landlords, and other states before they’ll do business with you.
When you’ll need this ▾
Most banks require one before opening a business account. Lenders require it for business loans or lines of credit. Commercial landlords want it before signing a lease. And
every other state requires one when you register your Wyoming LLC to do business outside Wyoming (foreign qualification). We request the official certificate directly from the Wyoming Secretary of State and deliver it to you.

International Document Certification

Why formal dissolution matters ▾
An LLC that’s “inactive” but not formally dissolved is still on Wyoming’s rolls. That means
you still owe annual reports, you still need a registered agent, and penalties accumulate until Wyoming eventually administratively dissolves the LLC for you — often years later, with back fees and penalties stacked up. A proper dissolution closes the book cleanly so you can walk away with no loose ends.
